When we say "FoneRewards," "our," "we," or "us," we're referring to FoneRewards, ForestONE and/or MV Asia Sdn Bhd, which is the operating company. Please read these Terms of Service carefully so you understand the conditions governing your use of FoneRewards. You agree to these Terms by installing, accessing, or using our apps, services, features, software, or website (together, "Services").

These Terms apply to two categories of users: (1) Members — individual end-users of the FoneRewards app, and (2) Merchants — business entities operating through the FoneRewards Merchant Portal. Sections marked “[Member]” apply to individual users; sections marked “[Merchant]” apply to Merchants; unmarked sections apply to all users.

PART A — GENERAL TERMS (ALL USERS)

1. Eligibility & Registration

1.1 Minimum Age

You must be at least 18 years old to use our Services. If you are not old enough under applicable law to independently agree to these Terms, your parent or guardian must agree on your behalf.

1.2 Member Registration

You must register using accurate data, providing your full name (as per NRIC), Malaysian NRIC number, current mobile phone number, email address, and full address including postcode. You must update this information promptly if it changes, via the app or by emailing fonerewards.support@forestone.com.my

Only Malaysians with a valid Malaysian identification (e.g. Malaysian I/C, Malaysian Passport) may register for a FoneRewards Member account. FoneRewards reserves the right to request proof of identity for verification at any time.

1.3 Merchant Registration

To access Merchant Services, you must register for a FoneRewards Merchant account by providing your full legal name, business address, phone number, a valid email address, SSM registration details, and any other required information. FoneRewards may reject or cancel any application at its sole discretion.

By registering as a Merchant, you confirm that you are at least 18 years of age, possess the legal authority to bind the business entity to these Terms, and are using the Services for business purposes only — not personal, household, or family purposes.

2. Account Security

You are responsible for keeping your device, login credentials, and FoneRewards account safe and secure at all times. You must notify us promptly of any unauthorized use or security breach of your account or our Services.

Merchants are additionally responsible for the security of any Staff Accounts created under their Merchant Portal. The Merchant Portal Owner bears full responsibility for actions taken by staff, agents, or subcontractors operating under their account.

3. Acceptable Use

You must access and use our Services only for legal, authorized, and acceptable purposes. You must not use (or assist others in using) our Services in ways that:

  • Violate, misappropriate, or infringe the rights of FoneRewards, our users, or others, including privacy, publicity, intellectual property, or other proprietary rights;
  • Are illegal, obscene, defamatory, threatening, intimidating, harassing, hateful, racially or ethnically offensive, or encourage conduct that would be illegal or otherwise inappropriate;
  • Involve publishing falsehoods, misrepresentations, or misleading statements;
  • Involve impersonation of any person or entity;
  • Involve sending illegal or impermissible communications; or
  • Constitute non-personal use of our Services unless expressly authorized by us.

Additionally, you must not:

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from FoneRewards;
  • Work around, bypass, or circumvent any technical limitations of the Services, or reverse engineer, decompile, or disassemble the Services;
  • Access or monitor the Services using any robot, spider, scraper, or other automated means;
  • Impose an unreasonable or disproportionately large load on our infrastructure;
  • Use the FoneRewards notification system (Email, SMS, WhatsApp) to send unsolicited mass communications (SPAM); or
  • Probe, scan, or test the vulnerability of our systems or networks without authorization.

4. Privacy & Data Protection

4.1 Privacy Policy

FoneRewards cares about your privacy. Our Privacy Policy describes how we collect, use, and share your information. By using our Services, you agree to our data practices as described in the Privacy Policy, including the transfer and processing of your information in Malaysia and other jurisdictions.

4.2 PDPA Compliance

Both FoneRewards and Merchants shall comply with the Personal Data Protection Act 2010 (PDPA) of Malaysia.

4.3 Shared Ownership Model

Merchant Data: Merchants own the transaction history and loyalty profiles of customers specifically acquired or transacted at their outlet(s), and may access this data for business analytics.

Platform Data: FoneRewards owns aggregate ecosystem data and master User Account profiles. FoneRewards acts as a "Data Processor" for a Merchant's specific rewards program and a "Data Controller" for overall platform maintenance and marketing.

4.4 Merchant Data Collected

FoneRewards collects the Merchant's name, company name, SSM details, address, email, and phone number to provide the Service, confirm identity, and communicate. This data is only shared with service providers necessary to run the platform (e.g., Fiuu for payments, cloud hosting). FoneRewards does not sell Merchant customer data to third-party advertisers.

5. Intellectual Property

5.1 FoneRewards Ownership

FoneRewards owns all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents, and other intellectual property rights associated with our Services. You may not use any of these without our express permission.

5.2 Your Content — License to FoneRewards

To operate and provide our Services, you grant FoneRewards a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform the information and content that you upload, submit, store, send, or receive through our Services.

Merchants retain ownership of all content uploaded to FoneRewards; however, you grant FoneRewards a non-exclusive, worldwide license to display and distribute that content to App users.

5.3 License to You

We grant you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use our Services solely in accordance with these Terms. No licenses or rights are granted by implication except as expressly stated.

5.4 Reporting Infringement

Report any third-party copyright, trademark, or other intellectual property infringement as soon as it is discovered. FoneRewards may terminate accounts that repeatedly infringe the intellectual property rights of others.

6. Third-Party Services

Our Services may allow you to access or interact with third-party websites, apps, content, and services. When you use third-party services, their own terms and privacy policies apply. FoneRewards makes no warranties or representations regarding third-party services and is not responsible for their availability, content, or your use of them.

In some instances, FoneRewards may receive a revenue share from Third Party Providers. Enabling a third-party service does not constitute an endorsement by FoneRewards. FoneRewards may disable access to any third-party service at any time without notice.

If you install or enable a third-party service, you grant us permission to share your data with that provider as required for interoperation. Any exchange of data between you and a third-party provider is solely between you and that provider; FoneRewards bears no liability for resulting disclosures or losses.

7. Disclaimers

You use our Services at your own risk. Our Services are provided on an "as-is" basis without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, or freedom from computer viruses or harmful code.

We do not warrant that information provided by us is accurate, complete, or useful; that our Services will be operational, error-free, secure, or safe; or that our Services will function without disruptions, delays, or imperfections. FoneRewards does not guarantee that the quality of any products, services, or information obtained through the Services will meet your expectations.

8. Limitation of Liability

FoneRewards and its subsidiaries, affiliates, directors, officers, employees, partners, and agents ("FoneRewards Parties") will not be liable for any lost profits or consequential, special, punitive, indirect, or incidental damages, even if advised of the possibility of such damages.

[Members] Our aggregate liability shall not exceed RM1,000.00.

[Merchants] To the maximum extent permitted by Malaysian law, FoneRewards's total liability for any claim arising out of this Agreement, whether in contract or tort, shall not exceed the total fees paid by the Merchant to FoneRewards in the twelve (12) months preceding the claim.

FoneRewards is not responsible for any of your tax obligations or liabilities related to the use of our Services.

9. Indemnification

You agree to defend, indemnify, and hold harmless the FoneRewards Parties from and against all liabilities, damages, losses, and expenses (including reasonable legal fees) relating to: (a) your access to or use of our Services; (b) your breach or alleged breach of these Terms; or (c) any misrepresentation made by you. You will cooperate as fully as required in the defense or settlement of any claim.

This indemnity shall not apply to claims arising solely from FoneRewards's gross negligence or wilful misconduct.

10. Dispute Resolution & Governing Law

10.1 Governing Law

These Terms are governed by the laws of Malaysia, without regard to conflict of law provisions.

10.2 Dispute Resolution

You agree that any dispute relating to these Terms, FoneRewards, or our Services shall be resolved exclusively in Malaysia, and you submit to the personal jurisdiction of courts in Malaysia. FoneRewards reserves the right to elect to resolve any dispute in any competent court in the country in which you reside that has jurisdiction.

10.3 Arbitration

FoneRewards and you agree to resolve all disputes through binding individual arbitration. You waive any right to have disputes decided by a judge or jury, and you waive your right to participate in class actions, class arbitrations, or representative actions.

10.4 Time Limit

Any arbitration proceeding must be commenced within sixty (60) days after the dispute first arose. Disputes not raised within this period are permanently barred.

10.5 No Class Actions

Each party may only bring disputes on its own behalf, and not on behalf of any class of people. Neither party may participate in class-action lawsuits, class-wide arbitrations, or consolidated disputes involving any other person or entity.

11. Account Suspension & Termination

11.1 FoneRewards's Right to Terminate

FoneRewards may modify, suspend, or terminate your access to the Services at any time, with or without notice, for reasons including but not limited to:

  • Violation of these Terms;
  • Account inactivity for 12 or more consecutive months (Member accounts: results in forfeiture of all FoneVoucher balance and FonePoints);
  • Suspected fraud, abuse, misuse, illegality, or misrepresentation;
  • Violation of applicable laws, statutes, or regulations;
  • Submission of false documents or information;
  • Being blacklisted by any financial institution or e-money issuer in Malaysia or abroad;
  • Flagging of your account for money laundering, terrorism financing, fraud, or other suspicious activities;
  • Failure to provide additional information requested by FoneRewards; or
  • [Merchant] Failure to pay fees or engagement in fraudulent activity.

11.2 Merchant Termination

Without Cause: Either party may terminate this agreement by providing thirty (30) days' written notice, subject to any active subscription period.

For Cause: FoneRewards may terminate immediately upon a material breach, failure to pay, or fraudulent activity by the Merchant.

Data Retention: Upon termination, Merchant data will be retained in an inactive state for sixty (60) days to allow for data export. Thereafter, data will be permanently deleted, except where required to be retained under Malaysian law (including tax and accounting regulations).

11.3 Effect of Termination

Upon termination, FoneRewards is not required to refund any Available Balance unless clearance has been obtained from relevant authorities, if applicable. FoneRewards shall not be liable for any loss of profits or business resulting from termination in accordance with these Terms.

The following provisions survive termination: Licenses, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Availability and Termination of Services, and General.

12. Modifications to These Terms

FoneRewards may amend or update these Terms at any time. For material changes, FoneRewards will provide at least fourteen (14) days' notice via the Merchant dashboard or email (for Merchants) and will update the "Last Modified" date at the top of these Terms (for Members). Your continued use of our Services after the notice period constitutes acceptance of the amended Terms. If you do not agree to the amendments, you must stop using our Services.

13. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and FoneRewards regarding the Services and supersede all prior agreements. For Merchants, this TOS together with the Subscription Addendums constitutes the full agreement.

Assignment: FoneRewards may freely assign its rights and obligations under these Terms to any affiliate, successor, or acquirer. You may not assign your rights without our prior written consent.

Severability: If any provision of these Terms is deemed unlawful or unenforceable, that provision will be severed and the remaining provisions will remain in full force.

Waiver: Failure by FoneRewards to enforce any provision of these Terms is not a waiver of that provision.

Notices: All notices to FoneRewards shall be sent to the registered email or office address. FoneRewards will communicate with you at the email address registered to your account.

Language: These Terms are written solely in English.

Force Majeure: Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including acts of God, war, or strikes.

Feedback: We welcome your feedback about FoneRewards, but you understand that we may use it without any obligation to compensate you.

Compliance with Law: Nothing in these Terms will prevent FoneRewards from complying with applicable law. You must comply with all applicable Malaysian export control and trade sanctions laws.

PART B — MEMBER-SPECIFIC TERMS

14. Device & Software Requirements

You must provide certain devices, software, and data connections to use our Services. You consent to downloading and installing updates to our Services, including automatic updates, for as long as you use our Services.

You provide FoneRewards access to your mobile device's location on a regular basis as part of the Services.

15. Fees & Taxes

You are responsible for all carrier data plan and other fees and taxes associated with your use of our Services. FoneRewards may charge fees for Services, including applicable taxes, and may refuse or cancel orders. We do not provide refunds for our Services except as required by law.

16. Coupon Terms & Conditions

Every FoneRewards member may obtain only 1 Coupon per campaign, unless otherwise stated in the Coupon T&C.

Every Coupon may only be used once, per member, per account.

Any attempt to use a Coupon more than once will not be honored.

In the event of detected fraud or suspicious activity, FoneRewards reserves the right to void or cancel the transaction.

17. Digital Voucher Terms & Conditions

Digital vouchers (including any discount provided by an e-voucher) are valid only up to the expiry date stated on the e-voucher.

Digital vouchers purchased are non-refundable and non-transferrable.

PART C — MERCHANT-SPECIFIC TERMS

18. Merchant Account Activation [Merchant]

18.1 Merchant Portal Owner

The person completing sign-up will be the "Merchant Portal Owner" and the authorized administrator of the Merchant Portal. If signing up on behalf of an employer, the employer is the Merchant Portal Owner and you must use your employer-issued email address.

18.2 Staff Accounts

Depending on your FoneRewards pricing plan, you may create Staff Accounts to allow other persons access to the Merchant Portal. The Merchant Portal Owner is responsible for all actions taken by staff, agents, and subcontractors under Staff Accounts, including any breach of these Terms.

18.3 Fiuu Payment Gateway

Upon sign-up, FoneRewards will configure a Fiuu payment gateway account on your behalf. Fiuu will be your default payment gateway. It is your sole responsibility to activate and maintain this account. By using the Fiuu payment gateway, you agree to be bound by the Fiuu Terms of Service.

19. Merchant Responsibilities

  • Provide accurate public-facing contact information and a refund policy on your Merchant Portal.
  • Ensure all content (images, descriptions, reward terms) uploaded to your Merchant profile is accurate and not misleading.
  • Confirm you own or have the rights to all intellectual property uploaded. FoneRewards will remove content infringing third-party copyrights.
  • Maintain your own independent records of customer and transaction data; FoneRewards performs regular system backups but this does not substitute for your own records.
  • Ensure all product and service listings comply with the Laws of Malaysia. FoneRewards reserves the right to remove listings or suspend accounts suspected of violating local laws without prior notice.
  • Refrain from abusive language or harassment toward FoneRewards support staff; such behavior may result in immediate account suspension.

20. Services, Support & SLA

20.1 Service Level Agreement

FoneRewards targets 99% App Uptime. If the platform falls below 95% uptime in a single calendar month (excluding scheduled maintenance or Force Majeure), the Merchant may be entitled to a service credit equal to one (1) day of the monthly subscription fee per hour of additional downtime, capped at 10% of the monthly fee.

Exclusions — Service unavailability due to the following shall not be considered a breach:

  • Scheduled maintenance (notified via dashboard or email);
  • Force Majeure events (acts of God, war, strikes);
  • Merchant's local internet connectivity issues or third-party payment gateway issues; or
  • Suspension of service due to the Merchant's violation of these Terms.

Critical Issues (e.g., app crash, payment failure): typically replied to and addressed within 1 business day.

Standard Support: Monday to Saturday, 8:00 AM – 11:00 PM (MYT), excluding public holidays. After-hours requests are logged on a best-effort basis. Critical system-wide failures are monitored 24/7 by our technical team.

21. Payment, Subscription & Refund

21.1 Fees

You agree to pay all fees, including annual subscriptions and setup fees, as outlined in your specific Subscription Addendum.

21.2 No Refund Policy

All fees paid are non-refundable, except as required by the Consumer Protection Act 1999 or in the event of a material breach of service by FoneRewards (e.g., permanent platform failure). In the event of a proven material breach by FoneRewards, any refund shall be limited to the pro-rata portion of unused subscription fees.

21.3 Taxes

All fees are subject to applicable taxes (e.g., SST) in Malaysia.

22. Additional Merchant Services

22.1 SMS / WhatsApp / Email Messaging

The Services allow you to send communications to your customers via SMS, WhatsApp, and email, including marketing messages. You must use these messaging services in compliance with these Terms and all applicable laws in Malaysia. These services use third-party providers and are subject to their Acceptable Use Policies.

22.2 Community Page Theme

You may customize the appearance of your Community Page using design templates provided by FoneRewards. FoneRewards may modify a Theme that, in its sole discretion, contains an element violating these Terms.

22.3 Gift Voucher & Merchant Point Services

FoneRewards grants you a limited, non-exclusive, non-transferable, revocable license to access the Gift Voucher & Merchant Point Services for your internal business purposes.

You are responsible for handling all amounts loaded on Gift Vouchers or offered as Merchant Points in compliance with applicable laws, including unclaimed property obligations. You and your subcontractors must comply with all local, regional, and national laws related to prepaid access, stored value, refunds, and gift vouchers.

22.4 API & Third-Party Services

FoneRewards may provide access to the FoneRewards API and other third-party services. Use of such services is at your own risk and you agree to be bound by the terms of those services. FoneRewards provides no warranties with respect to third-party services.

23. FoneApp Merchant Listing

Upon onboarding with FoneRewards, you will be automatically listed as a merchant on FoneApp, subject to separate FoneApp platform terms.
